Acceptance

These Terms of Use (the "Terms") govern your use of the website at archonph.com (the "Website"). By accessing or using the Website you agree to be bound by them. If you do not agree, please do not use the Website.

Acceptance is given by any conclusive action on the Website, including:

• browsing the Website or any page within it;
• following a hyperlink within the Website;
• writing to any address published on the Website;
• requesting a demonstration of a service, product or solution Archon provides;
• any other interaction with the Website.

We may modify these Terms at any time. Continued use after a change constitutes acceptance of the revised Terms. The date at the top of this page records the last revision, and it is the reader's responsibility to check it.

Who we are

The Website is operated by Archon Programmatic House FZC ("Archon", "we", "us"), together with its affiliates.

Archon Programmatic House FZC is a member of IAB Europe's Transparency & Consent Framework 2.2, registered as vendor number 1318 on the TCF Vendor List, and a member of IAB Canada's Transparency and Consent Framework (TCF Canada) under the same number.

Permitted use

You agree to use the Website lawfully and in a manner consistent with all applicable laws and regulations, and not to engage in any activity that interferes with or disrupts it.

These Terms govern the Website as a whole, including the description of our services, products and solutions, our published insights and research, the material about the company, its partners and credentials, and any content or functionality added later at our discretion.

You may not use the Website for any unlawful purpose. If you do, you are solely responsible for compliance with the law in your jurisdiction.

Intellectual property

All content on the Website — text, graphics, logos, images, code and design — is the property of Archon or its licensors and is protected by intellectual property law. You may not reproduce, distribute, modify or create derivative works from it without our express written consent.

Third-party names, trademarks and logos appearing on the Website are the property of their respective owners and are used to identify those parties and our relationships with them. Their appearance does not imply endorsement of you by them.

Unauthorised use of any trademark, including reproduction, imitation or misleading use, is prohibited. Any unfair use of Website content, or use inconsistent with the law, is an intentional violation of these Terms and carries liability. Users who violate this section may be denied access immediately.

You are granted no right to use our intellectual property except as specifically provided in these Terms or in a separate agreement with Archon. To use any material for another purpose, ask us first.

Quotation and citation. Nothing above is meant to prevent ordinary quotation. You may quote a reasonable extract from our published research and articles for commentary, reporting, teaching or study, provided you attribute it to Archon Programmatic House and link to the page you took it from.

Submissions

Any question, comment, suggestion, idea or feedback you send us about the Website (a "Submission") is non-confidential. We may use and disseminate Submissions for any lawful purpose without acknowledgement or compensation, and you agree you have no recourse against us in respect of any proprietary right in them.

Accuracy of published material

The Website includes research, market commentary, figures and forward-looking statements about the advertising industry. These are provided for information only. They are not advice — commercial, financial, legal or otherwise — and must not be relied on as the sole basis for a decision. Figures attributed to third parties are reproduced as published by those parties, and we do not warrant their accuracy. Where we state our own performance figures, they describe past results and are not a promise of future results.

Privacy and cookies

Your use of the Website is also governed by our Privacy Policy and Cookie Policy.

The Website itself sets no cookies and runs no analytics or advertising tags — the Cookie Policy sets out exactly what it does store and what it loads. This is separate from the data Archon processes as an advertising technology provider on its clients' properties, which the Privacy Policy covers.

Disclaimer of warranties

The Website is provided on an "as is" and "as available" basis. Archon makes no representations or warranties of any kind, express or implied, as to its accuracy, reliability or availability, and does not represent that it will be available in every location. We are not liable to you or any third party for any modification, suspension or termination of the Website or its content, nor for interruptions caused by failures of servers, routers, networks or data centres, nor for connection problems arising from the internet service or equipment you have chosen.

Limitation of liability

To the fullest extent permitted by law, Archon is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, data or goodwill, arising out of your use of or inability to use the Website.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

Third-party links

The Website links to publications and resources we do not control. Those links are provided for reference. We do not endorse, and are not responsible for, the content, accuracy or practices of any linked site.

Governing law and disputes

Any dispute arising out of or in connection with these Terms, including any question about their existence, validity or termination, shall be referred to and finally decided in the courts at the defendant's location. The language of proceedings shall be English.

If any provision of these Terms is found unenforceable by a court or tribunal of competent jurisdiction, that provision shall be modified or limited only to the minimum extent necessary, and the remainder shall stay in full force.

Visiting the Website and sending us email constitute electronic communications. You consent to receive electronic communications from us, and you agree that agreements, notices, disclosures and other communications provided electronically satisfy any legal requirement that they be in writing.

By writing to Archon you confirm that you are at least 18 years old and have the legal capacity and authority to interact with Archon.

Miscellaneous

Section headings are for convenience and do not affect interpretation. You affirm that you have the power and authority to enter into this agreement. These Terms operate to the fullest extent permitted by law. We may assign our rights and obligations at any time. We are not responsible for any loss, damage, delay or failure to act caused by anything beyond our reasonable control. No joint venture, partnership, employment or agency relationship is created by these Terms or by use of the Website. You agree these Terms will not be construed against us on the ground that we drafted them, and you waive any defence based on their electronic form or the absence of signatures.
